" p9 k( P9 M' ]proprietorship, a partnership, and a corporation. A sole proprietorship is where one person) x, N' z# R# Y# e
using his own name or any other name, conducts business. In a partnership, there are two or, o& Z; o! o, a) M' c) o
more persons carrying on a business activity under their own names or the name of a
4 e. h: ]+ R9 z& g% W1 Vpartnership. Incorporations are for legal purposes and entirely separate, legal entity created by0 G& w8 C% {. p0 Q+ m+ _& P
law and can be used by a single person or more persons together.% ?0 _: q1 j) W& W3 `
SOLE PROPRIETORSHIP- k! q O- W* }: K
If a one-man operation uses a name different that his own, he must register this name under the, Q3 d6 s/ t9 n H
Partnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it
5 T+ {6 P/ i: k9 |5 e: i2 ] V* gcan be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the
; u1 |) M T$ ?0 n- S: |" Z$ M2 Gindividual remains personally liable and his home and personal assets can be used to satisfy a
$ [7 C2 |) d7 G8 A6 Sjudgement. The registration lasts for five years, and must be renewed at expiry.! V8 q' w) p7 G
It is possible for a sole proprietor to call his business by a name such as "ABC Company". The" z, k& e1 }# u( I
fact that the word "company" is used does not provide any extra legal protection as- u" T! }2 s' m% s- O
incorporation does, and this is commonly misunderstood by many. For tax and legal purposes,4 z. ?- Y; X [! j* v7 [$ l' ~# i! ^
the sole proprietor is the same as the individual, even if he uses a different name.

Where two or more persons are engaged in a business activity, it is known as a partnership.
) O* E+ h% j I- p" \+ N$ CLike a sole proprietorship, they must register the business name if names other than their own

each partner must sign this form and such declaration lasts five years. Here again, if the word

what salary he may expect. If a partnership agreement is not provided, the provisions of the

upon disagreement, a party could withdraw from the partnership. Where no agreement is

In case of failure of a partnership to register a business name, no action can be brought by the
# H+ d2 q D* fpartnership to sue a defendant, who fails to pay them.9 Q r" @/ z) y
INCORPORATION& Z( e3 p1 Z7 F8 u# I: W- O" a( K0 P
Incorporation is often called a limited company. When a corporate body is formed, it creates a( K4 C0 {# F7 Q$ H
separate legal person, and has a different legal existence than the person or persons who formed4 @+ `- K7 }1 b
that legal entity. A corporation may be identified by using the words "limited", "incorporated",% f! ?* {5 k7 T' d# a3 ^2 Q9 \
or "corporation".6 Q1 O8 p/ ~0 q' X
The word "limited" correctly describes the idea of limited liability, when a corporation is" {, m. D) `, O, x+ A
formed. Unlike the sole proprietorship and partnership when a corporation is formed, the
) G! v* t4 b: X. b! J8 w3 P6 bindividual or the persons forming it are only liable for the amount of investment made by them,+ N7 p* G8 Q2 H6 Z, i

A corporation offers a variety of tax planning benefits. The most common benefit derived is the8 V u+ u* L! a* J5 Z

Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to0 L) P4 T' ?- O
be that of the husband, but where a corporation is formed, and the wife works for the
% _$ M8 `; [" [corporation, it is legally possible for the husband to divert a certain amount of income to the
0 q2 c2 _# D P! Ywife, provided that she is doing some work in the company.
9 S2 V* {7 u, w$ @, Q+ U3 @1 oA corporation is also in effect, an estate-planning vehicle. By issuing common shares to
5 t, `8 R( U E2 R. F* c- \) L6 Schildren in trust, the growth value of the shares of the corporation can be transferred to the
# o# d7 ~. k8 g2 b/ c# c% k9 lchildren without incurring inheritance taxes under Succession Duty Act, and Income Tax Act.
: O0 t% x. D6 f6 GA corporation can be formed either under the Canada Business Corporations Act, or the: I7 N, M' u {5 p# M- B
Provincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal1 J, b+ u6 Z4 C. h
company is desirable where it may, in the future, have head offices in various provinces. A4 i. _* p3 `" h1 U
federal company does not require extra-provincial licenses to operate in different provinces. It4 c1 M( K. J2 e) f3 A
does require, however in Ontario, a Licence In Mortmain. This license is required when the: U) Z! R! P/ w# }% J
company owns or rents property in Ontario. The Ontario corporation does not require such4 v: u6 z0 }( f5 } P) I
license to operate within Ontario, but may require extra-provincial license to operate in other: x6 t1 u" p# a1 A4 ~ s4 l' J& a+ c4 @
provinces, except Quebec.

It is now possible for a one-man person to form incorporation and he may be the sole director

control usually gives the right to such shareholders to elect the board of directors and

general meeting each year, even if there are only one or two shareholders, who might be the0 `" S9 L; @! \% g

Where there are two or more shareholders in a company, a buy-sell agreement or some& }% g' {! z, M# [5 _! n
shareholders agreement is very desirable. Such agreement can set out how a party can( k% s+ F% V2 M/ ^ I. [2 H
withdraw as a shareholder, or how the shares will be disposed of upon death or disagreement.. ~2 n' j7 U" |# h
This agreement is commonly ignored by shareholders until a dispute arises, when it is usually
