There are three basic ways in which a business organization can exist, namely a sole
. q. l! u) r! p: H% Q& t" X* Kproprietorship, a partnership, and a corporation. A sole proprietorship is where one person0 u" Y' g0 i2 [, [* J
using his own name or any other name, conducts business. In a partnership, there are two or
' m( ]/ F( H1 J! I( A8 h: bmore persons carrying on a business activity under their own names or the name of a7 f# }7 L2 B" `0 O9 s
partnership. Incorporations are for legal purposes and entirely separate, legal entity created by
- y5 c& j" Z9 J: Ilaw and can be used by a single person or more persons together.4 b% X+ z" R! r, w Q! b
SOLE PROPRIETORSHIP
2 f0 v! {! q+ R% V) oIf a one-man operation uses a name different that his own, he must register this name under the
4 L; {! o* W7 ^4 v; p! y6 o6 ^Partnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it! o1 a8 O* m) {; z# x: S; q
can be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the) n2 @; ]# m& W) n" L
individual remains personally liable and his home and personal assets can be used to satisfy a
# g0 Q6 Y- z$ |' L3 k+ fjudgement. The registration lasts for five years, and must be renewed at expiry.
( I: u; E. n9 H1 K1 ^: vIt is possible for a sole proprietor to call his business by a name such as "ABC Company". The
0 s* w4 C) F& Q) t2 G" H& b. ffact that the word "company" is used does not provide any extra legal protection as
9 S* W7 _4 d% _8 iincorporation does, and this is commonly misunderstood by many. For tax and legal purposes,3 A7 x- \- C# |
the sole proprietor is the same as the individual, even if he uses a different name.
- v- O1 V/ g8 `$ gPARTNERSHIP* X# T- i9 Y- \; y3 G1 D; m
Where two or more persons are engaged in a business activity, it is known as a partnership.
?! x/ A2 j0 u( Z/ qLike a sole proprietorship, they must register the business name if names other than their own( S( J& p! g' g: G" M8 m
are being used to conduct the business activity. The same provisions of registration apply and) T2 K4 v; R5 ` T1 y4 i
each partner must sign this form and such declaration lasts five years. Here again, if the word
4 d" t, a; C1 X3 e: H/ v' I L; {"company" is used at the end of the name, it provides no extra protection, like incorporation.
. i% ?+ v' |3 ^# z' H9 y0 rEach partner remains fully liable for the debts of the partnership, regardless of which partner
! \4 E# G6 f( B0 k/ \ F. H4 A2 k+ Cincurred the liability. In case of financial difficulties, the judgement can be enforced against: r& `8 v+ t @0 ]% w6 x- K# q
each and every partner and if any one partner does not have any monies, the other partner who

Each partner is liable too pay tax on his share of the profit made. For legal purposes, the

It is very desirable for the partners to have a partnership agreement, which sets out the basic- X+ H: L7 k, I, d( P
terms of the partnership arrangement, including what business will be conducted, profit and. J7 w V Z' U( G
loss sharing formula, whether the partnership will continue the death of a party, where the
' A" Y0 }( @" ?+ h( C( `account of the partnership will be maintained, and if any partner is to be employed full-time,
/ C+ a+ i* ?0 B+ |+ hwhat salary he may expect. If a partnership agreement is not provided, the provisions of the
' ~1 g+ k: z0 q) Y8 t" s0 uPartnership Act will apply, and in such events, the partnership will dissolve, for example, on
- ?* K# X: [+ i. p) Ethe death of a partner. The partnership agreement also would provide for a formula by which7 `. ?% f% G1 C0 k8 U: q
upon disagreement, a party could withdraw from the partnership. Where no agreement is
, K/ t2 M! u6 M6 H% J& u1 mprovided, any partner could simply register dissolution of partnership and terminate the
m" y1 l/ g' F7 dpartnership arrangement. Legal advice is desirable in drafting a partnership agreement.1 B6 |: ?( E& y7 S9 \
In case of failure of a partnership to register a business name, no action can be brought by the
' _; s& j( Q8 g+ o0 m E& ypartnership to sue a defendant, who fails to pay them.6 b& g+ l6 }' [5 Y2 \8 l+ r& `
INCORPORATION
: o0 \. q: l0 D9 qIncorporation is often called a limited company. When a corporate body is formed, it creates a% o% l0 h, k4 m0 a* Y h2 ?
separate legal person, and has a different legal existence than the person or persons who formed' m$ x; Q' Q5 N* ]! W
that legal entity. A corporation may be identified by using the words "limited", "incorporated",
) r5 ?+ m+ j" W4 P0 Tor "corporation".& s5 a$ T$ D1 `& }+ w8 \. B
The word "limited" correctly describes the idea of limited liability, when a corporation is
8 ~" n j) w& E6 T& c% Gformed. Unlike the sole proprietorship and partnership when a corporation is formed, the. a4 H, [) M! H5 `7 o; ^
individual or the persons forming it are only liable for the amount of investment made by them,5 A- v+ S6 R4 F
in the corporation. In case of financial problems arising, the judgment can be enforced only4 V6 B7 p* H$ q
against the assets and property owned by the corporation, and the assets of the individual and0 q- I+ m Z: Q1 i" ^4 q
his home cannot be touched. This is the most important reason for forming a corporation, as0 P4 _4 d @2 ]+ u# A" \* o4 X
most people wish to protect their personal assets against the risks of the business.
/ F1 i4 ?, s3 @( y# ZA corporation offers a variety of tax planning benefits. The most common benefit derived is the
: d, m" a- ?$ ^) S/ g% @' v/ jpossibility in a small company, of splitting the income between the husband and the wife.% t' L* ]# a" O& e, G. @. |/ R
Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to
1 j- v8 K9 U7 p& e* W$ U& dbe that of the husband, but where a corporation is formed, and the wife works for the: `& T x4 _7 E S. E# y8 Y
corporation, it is legally possible for the husband to divert a certain amount of income to the
1 M6 b" s4 G+ mwife, provided that she is doing some work in the company.
, D. _% {7 Q% m# ?# b9 k- U6 ^1 rA corporation is also in effect, an estate-planning vehicle. By issuing common shares to$ i+ S* {% x8 I: V3 h! s$ m
children in trust, the growth value of the shares of the corporation can be transferred to the1 y' G: Y$ f7 d
children without incurring inheritance taxes under Succession Duty Act, and Income Tax Act.
" |; w" ^% v0 ]3 pA corporation can be formed either under the Canada Business Corporations Act, or the- p" }% Z0 D9 _% W6 ~
Provincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal
5 t+ v: T% F& h4 tcompany is desirable where it may, in the future, have head offices in various provinces. A( z, L3 e1 \! |( E: [$ U: b
federal company does not require extra-provincial licenses to operate in different provinces. It: d; Q& G. T* S, l
does require, however in Ontario, a Licence In Mortmain. This license is required when the, |/ M g# F, x5 ]! J
company owns or rents property in Ontario. The Ontario corporation does not require such
. g% E, m9 D9 M7 v) D6 Ylicense to operate within Ontario, but may require extra-provincial license to operate in other/ ?3 P; T6 k: L0 w+ Q
provinces, except Quebec.0 {. \! s2 S# C

It is now possible for a one-man person to form incorporation and he may be the sole director( t! s4 D$ P L |
also the sole shareholder in that company. Where there are more shareholders, a difficult
" k7 S. p: a5 c5 f" [, Y/ \decision to make is the proportion of shares owned by each shareholder in the company. A 51%
. e' U; n+ y' Y8 M2 d2 econtrol usually gives the right to such shareholders to elect the board of directors and, @- L) b0 B. y% T
accordingly, exercise effective control of the operations of the business.% E% N% C9 C$ {, D) n
The directors of a company are responsible to the shareholders and must hold an annual, K) G4 y* \0 @$ U$ @+ b. O8 ~
general meeting each year, even if there are only one or two shareholders, who might be the0 y) c h' B! i: ^: F# b
same persons as the directors.
2 _' a! |- F$ J" T8 ]Where there are two or more shareholders in a company, a buy-sell agreement or some6 a3 a( F( k' k: B
shareholders agreement is very desirable. Such agreement can set out how a party can

This agreement is commonly ignored by shareholders until a dispute arises, when it is usually+ i5 c' l/ i5 ^7 S) X
