There are three basic ways in which a business organization can exist, namely a sole
8 _) l3 B' [$ D" Zproprietorship, a partnership, and a corporation. A sole proprietorship is where one person
) @2 ~3 B( A" e! x% D8 vusing his own name or any other name, conducts business. In a partnership, there are two or0 h, h% o" S6 q% _4 P _5 @
more persons carrying on a business activity under their own names or the name of a5 B- Z5 ]8 z4 Z4 }/ K1 q
partnership. Incorporations are for legal purposes and entirely separate, legal entity created by
/ v2 A( I4 J4 _) o6 u% ^+ Slaw and can be used by a single person or more persons together.
* l6 U* @0 [) C+ L7 }SOLE PROPRIETORSHIP" z3 z; B V( ]) s+ [. A
If a one-man operation uses a name different that his own, he must register this name under the
1 k5 w" [6 V% nPartnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it
* g6 T+ T- [" W! ]7 U1 Z) Rcan be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the
$ X: y, g8 ?$ { E3 _individual remains personally liable and his home and personal assets can be used to satisfy a6 M4 p" ~5 b! i! v( Q" x0 M( [
judgement. The registration lasts for five years, and must be renewed at expiry.
, z" h& }7 y! `0 q+ @+ s! {$ x7 uIt is possible for a sole proprietor to call his business by a name such as "ABC Company". The4 }* Z5 e- j: _0 D: E6 @' s
fact that the word "company" is used does not provide any extra legal protection as
/ T: F+ q1 H) S( Mincorporation does, and this is commonly misunderstood by many. For tax and legal purposes,) D" N# w: L7 @ `: L
the sole proprietor is the same as the individual, even if he uses a different name.$ q9 G8 ]5 C" q9 X' N3 T4 ?4 f
PARTNERSHIP
' l7 H, i3 y* s& tWhere two or more persons are engaged in a business activity, it is known as a partnership.
$ X* I" U! G2 S( D9 o9 K! oLike a sole proprietorship, they must register the business name if names other than their own4 S9 J* M6 W% L9 `
are being used to conduct the business activity. The same provisions of registration apply and
) Z1 `1 T( h% P& ieach partner must sign this form and such declaration lasts five years. Here again, if the word3 L. J% V) T6 t0 ^
"company" is used at the end of the name, it provides no extra protection, like incorporation.: y0 A, B1 X% N0 z. @
Each partner remains fully liable for the debts of the partnership, regardless of which partner
) l; }6 U+ K) A, ]incurred the liability. In case of financial difficulties, the judgement can be enforced against
4 X2 |$ N7 C$ N% D3 @$ s% ^each and every partner and if any one partner does not have any monies, the other partner who1 @, L- O# o# d+ a
has the property and personal belongings and a house, he would have to meet the liability.
2 n# ` }# o* q: W' {Each partner is liable too pay tax on his share of the profit made. For legal purposes, the

It is very desirable for the partners to have a partnership agreement, which sets out the basic

loss sharing formula, whether the partnership will continue the death of a party, where the* t. C S1 R) d% w8 O
account of the partnership will be maintained, and if any partner is to be employed full-time,
! c/ D9 w4 S( y/ t& Nwhat salary he may expect. If a partnership agreement is not provided, the provisions of the
; A* E+ s; g* {. `& e$ sPartnership Act will apply, and in such events, the partnership will dissolve, for example, on+ J9 k. h% m# z: ]1 B
the death of a partner. The partnership agreement also would provide for a formula by which
* k' p7 F/ j0 @0 Eupon disagreement, a party could withdraw from the partnership. Where no agreement is* P8 W- Q0 G. c' E* c
provided, any partner could simply register dissolution of partnership and terminate the6 [5 N- Z* C' e) g. A

In case of failure of a partnership to register a business name, no action can be brought by the, f1 ]4 X5 w0 h. n* i% h; V

INCORPORATION
$ j) T. ]2 R* B7 sIncorporation is often called a limited company. When a corporate body is formed, it creates a
! f1 ^6 X" q6 I& k! ]' s6 @0 `separate legal person, and has a different legal existence than the person or persons who formed
: C9 l" |2 [; [7 Ethat legal entity. A corporation may be identified by using the words "limited", "incorporated",6 |" G/ q4 V) f5 a, K1 ~
or "corporation".
$ f# n B) }& `( cThe word "limited" correctly describes the idea of limited liability, when a corporation is% ]+ x0 a$ m% q! _2 v1 x
formed. Unlike the sole proprietorship and partnership when a corporation is formed, the
( U- I a2 o* k9 D# q ?$ t2 T* A9 Uindividual or the persons forming it are only liable for the amount of investment made by them,8 h* @) s3 O$ A& C# m, ]
in the corporation. In case of financial problems arising, the judgment can be enforced only% L/ G3 N* O# f7 \$ O- E, Z$ k$ b
against the assets and property owned by the corporation, and the assets of the individual and
m2 o7 r; G/ `his home cannot be touched. This is the most important reason for forming a corporation, as/ y1 U5 x! J2 G2 u5 ~4 N. _
most people wish to protect their personal assets against the risks of the business.
) u% C* E+ @/ T. a# p0 o: I1 h" |A corporation offers a variety of tax planning benefits. The most common benefit derived is the1 r! o: r& ^, s
possibility in a small company, of splitting the income between the husband and the wife.# f- O% S; V- y. ]+ k/ E
Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to! W) N: A" f8 i) I% s, b. F3 N
be that of the husband, but where a corporation is formed, and the wife works for the' W. j9 A6 ?( K" h
corporation, it is legally possible for the husband to divert a certain amount of income to the6 E, L7 @2 @* M$ f9 `4 B' g
wife, provided that she is doing some work in the company.
; q7 F* T8 A/ TA corporation is also in effect, an estate-planning vehicle. By issuing common shares to
6 h. T4 A C4 t4 [# F% }children in trust, the growth value of the shares of the corporation can be transferred to the( H) n: o, |- P. v7 c2 l
children without incurring inheritance taxes under Succession Duty Act, and Income Tax Act.+ h/ m$ J+ e, W' ]
A corporation can be formed either under the Canada Business Corporations Act, or the
' M J0 _3 m; h/ L: K1 [1 vProvincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal5 e4 ^) S3 U3 A, @5 C* C
company is desirable where it may, in the future, have head offices in various provinces. A
" N7 C; f1 y' ^6 ]( @federal company does not require extra-provincial licenses to operate in different provinces. It
! V! `3 i, c! O# k/ ]* Vdoes require, however in Ontario, a Licence In Mortmain. This license is required when the2 i# W" L7 q! Y, h
company owns or rents property in Ontario. The Ontario corporation does not require such
0 b* m+ E8 ]5 d; k6 Ylicense to operate within Ontario, but may require extra-provincial license to operate in other
- k0 G g' e- r X7 uprovinces, except Quebec.

It is now possible for a one-man person to form incorporation and he may be the sole director0 B0 u- A- M3 `
also the sole shareholder in that company. Where there are more shareholders, a difficult
8 A7 p& V& o( `# Z# zdecision to make is the proportion of shares owned by each shareholder in the company. A 51%
6 o* O) D8 l4 v& Icontrol usually gives the right to such shareholders to elect the board of directors and

The directors of a company are responsible to the shareholders and must hold an annual7 W" b# U- l- ?$ ]! M v
general meeting each year, even if there are only one or two shareholders, who might be the

" Q1 g1 a& T8 pWhere there are two or more shareholders in a company, a buy-sell agreement or some8 ?" q, l, J; z9 t# ?6 J
shareholders agreement is very desirable. Such agreement can set out how a party can

This agreement is commonly ignored by shareholders until a dispute arises, when it is usually
