proprietorship, a partnership, and a corporation. A sole proprietorship is where one person1 c- F! C1 ?) h. s( t
using his own name or any other name, conducts business. In a partnership, there are two or" O4 N+ n7 @7 i) X9 p2 Q. K0 H3 @
more persons carrying on a business activity under their own names or the name of a" T$ t3 N, [& _$ c8 s7 x [
partnership. Incorporations are for legal purposes and entirely separate, legal entity created by/ J- @4 E! N5 r5 U* \6 q
law and can be used by a single person or more persons together.

If a one-man operation uses a name different that his own, he must register this name under the
/ l$ \6 [0 C. `Partnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it
; d( d; ?: U$ w( ~5 O- Tcan be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the' {! |$ \5 e9 [( ?
individual remains personally liable and his home and personal assets can be used to satisfy a9 T3 k' g# D5 W, H/ K
judgement. The registration lasts for five years, and must be renewed at expiry.
% ]- j' N" @: {: DIt is possible for a sole proprietor to call his business by a name such as "ABC Company". The
! E. k" b+ J4 Pfact that the word "company" is used does not provide any extra legal protection as
4 J/ w- N Z0 k yincorporation does, and this is commonly misunderstood by many. For tax and legal purposes,
* u6 z% i& @" m: Kthe sole proprietor is the same as the individual, even if he uses a different name.. B& J# V8 [# e% Z' f2 x0 N
PARTNERSHIP1 l6 p7 c/ W; I4 m; t* G2 J( K
Where two or more persons are engaged in a business activity, it is known as a partnership.
- D& |/ E- T" U2 c8 U' \& h1 {. C/ cLike a sole proprietorship, they must register the business name if names other than their own2 w6 O/ D2 L9 Z0 R5 i
are being used to conduct the business activity. The same provisions of registration apply and) J9 D& h' y2 \- i! y4 h
each partner must sign this form and such declaration lasts five years. Here again, if the word
4 m! U" X; y: v# R" h) U" D"company" is used at the end of the name, it provides no extra protection, like incorporation.
% N( L M6 t3 J5 ^6 v+ J% fEach partner remains fully liable for the debts of the partnership, regardless of which partner1 H3 g+ u2 R$ L# g- q
incurred the liability. In case of financial difficulties, the judgement can be enforced against1 `6 {( m* p: [0 g: F ?& _
each and every partner and if any one partner does not have any monies, the other partner who; q9 y5 Z7 C' Z' R* f
has the property and personal belongings and a house, he would have to meet the liability.4 g. A& B; R T
Each partner is liable too pay tax on his share of the profit made. For legal purposes, the4 ~% V+ P3 c' }4 G: C

terms of the partnership arrangement, including what business will be conducted, profit and

In case of failure of a partnership to register a business name, no action can be brought by the

INCORPORATION
' {4 G6 E5 P; q1 W3 z+ ZIncorporation is often called a limited company. When a corporate body is formed, it creates a" G9 z0 H- ?, o
separate legal person, and has a different legal existence than the person or persons who formed
: I+ L& G# M. n, e% w: Xthat legal entity. A corporation may be identified by using the words "limited", "incorporated",
; F3 I' d: S% t+ hor "corporation".5 {( R( `! v% K# w
The word "limited" correctly describes the idea of limited liability, when a corporation is0 F. o( A' J+ F, l2 ~
formed. Unlike the sole proprietorship and partnership when a corporation is formed, the7 z+ D% H0 j! y6 ]2 m. N
individual or the persons forming it are only liable for the amount of investment made by them,
; A- i% Y4 _0 O( Q7 }1 min the corporation. In case of financial problems arising, the judgment can be enforced only; D& c' P0 e9 t( L

his home cannot be touched. This is the most important reason for forming a corporation, as

A corporation offers a variety of tax planning benefits. The most common benefit derived is the. Z1 N8 j& }6 w2 }
possibility in a small company, of splitting the income between the husband and the wife.1 t, u7 ~; b# @* _5 m- i2 t
Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to
5 ~# m. S1 }& S1 q6 v! }! v7 \, Vbe that of the husband, but where a corporation is formed, and the wife works for the: R# C! K$ ^. O/ j0 m$ o
corporation, it is legally possible for the husband to divert a certain amount of income to the

A corporation is also in effect, an estate-planning vehicle. By issuing common shares to

children without incurring inheritance taxes under Succession Duty Act, and Income Tax Act.
+ X3 }- p# @/ O2 aA corporation can be formed either under the Canada Business Corporations Act, or the
" @2 l4 t4 @6 z+ R3 J: MProvincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal
* f& M F, N' Z' q+ b$ Vcompany is desirable where it may, in the future, have head offices in various provinces. A
/ V2 f5 e- k" Hfederal company does not require extra-provincial licenses to operate in different provinces. It

company owns or rents property in Ontario. The Ontario corporation does not require such3 ~ {: h$ k, y, G
license to operate within Ontario, but may require extra-provincial license to operate in other

It is now possible for a one-man person to form incorporation and he may be the sole director

The directors of a company are responsible to the shareholders and must hold an annual
