LEGAL FORMS OF BUSINESS ORGANIZATIONS# H( M/ R+ o6 ]
There are three basic ways in which a business organization can exist, namely a sole% f5 i* C& J& D6 P: e
proprietorship, a partnership, and a corporation. A sole proprietorship is where one person- U! P! G' o0 P
using his own name or any other name, conducts business. In a partnership, there are two or
" u1 c8 J3 n7 ^( {1 T+ Q \# qmore persons carrying on a business activity under their own names or the name of a6 {& u1 K+ S2 T9 a2 {& i, R
partnership. Incorporations are for legal purposes and entirely separate, legal entity created by9 I0 B. `6 k1 F* ? e! T8 J$ L
law and can be used by a single person or more persons together.
# i2 i# h9 o: G' n8 {# e9 c& `1 s+ JSOLE PROPRIETORSHIP
$ l5 i# X; H) ~! l& `# z+ ^If a one-man operation uses a name different that his own, he must register this name under the
% b/ s0 y/ D3 o3 lPartnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it
& V3 u# ~5 X8 b* ?4 @can be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the3 g6 |* H5 ?- J8 P& ` q
individual remains personally liable and his home and personal assets can be used to satisfy a
! T! p$ w- V& C4 ~0 Vjudgement. The registration lasts for five years, and must be renewed at expiry.
, e! b( c" Z f9 r! t; ^It is possible for a sole proprietor to call his business by a name such as "ABC Company". The
V& F2 j" m- Vfact that the word "company" is used does not provide any extra legal protection as3 D, t$ W. o* z" m
incorporation does, and this is commonly misunderstood by many. For tax and legal purposes,* j2 {( S! O. b. o; k
the sole proprietor is the same as the individual, even if he uses a different name.
, p6 r: `5 T# c1 [PARTNERSHIP
5 p7 R( X. U) Z% Q' j h" LWhere two or more persons are engaged in a business activity, it is known as a partnership.% }- v2 _' k U! f4 c) e
Like a sole proprietorship, they must register the business name if names other than their own
0 }9 v" u# H U1 K3 N8 R2 ^are being used to conduct the business activity. The same provisions of registration apply and

Each partner remains fully liable for the debts of the partnership, regardless of which partner

each and every partner and if any one partner does not have any monies, the other partner who

It is very desirable for the partners to have a partnership agreement, which sets out the basic8 }; H; S- h. Q, q

loss sharing formula, whether the partnership will continue the death of a party, where the8 ?0 ?, q: Q$ Y R
account of the partnership will be maintained, and if any partner is to be employed full-time,

the death of a partner. The partnership agreement also would provide for a formula by which7 ~# O3 x- }( K8 I4 e3 t
upon disagreement, a party could withdraw from the partnership. Where no agreement is, e% n: x, ?( W! N- n! g! M
provided, any partner could simply register dissolution of partnership and terminate the

Incorporation is often called a limited company. When a corporate body is formed, it creates a
( f, s0 L% \2 Dseparate legal person, and has a different legal existence than the person or persons who formed1 J# _4 t4 S6 L7 V# S
that legal entity. A corporation may be identified by using the words "limited", "incorporated",
; m z' ?& v: v4 z& |or "corporation".
% A+ s L, V6 ~" c0 _6 fThe word "limited" correctly describes the idea of limited liability, when a corporation is' ` c/ @, Z! w$ u6 H9 l) J1 {4 v
formed. Unlike the sole proprietorship and partnership when a corporation is formed, the
& [, j( E; ~1 K' Gindividual or the persons forming it are only liable for the amount of investment made by them,4 b5 n; b0 }. B$ h$ X1 V5 V

A corporation offers a variety of tax planning benefits. The most common benefit derived is the

Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to5 L$ {9 f R+ ^' `( M! a: u9 [. Q
be that of the husband, but where a corporation is formed, and the wife works for the
9 _# ~8 c- o, A$ c$ ucorporation, it is legally possible for the husband to divert a certain amount of income to the

% u/ N! I, G0 yA corporation is also in effect, an estate-planning vehicle. By issuing common shares to

4 q6 y- ^- I6 n/ Y% Rchildren without incurring inheritance taxes under Succession Duty Act, and Income Tax Act.
+ j7 S& ~5 L, d1 z* IA corporation can be formed either under the Canada Business Corporations Act, or the) p c) p2 R4 G6 Q
Provincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal1 r% C0 C* t7 ?8 _
company is desirable where it may, in the future, have head offices in various provinces. A
8 o1 W |3 C; q* H5 G5 }federal company does not require extra-provincial licenses to operate in different provinces. It

company owns or rents property in Ontario. The Ontario corporation does not require such

It is now possible for a one-man person to form incorporation and he may be the sole director

control usually gives the right to such shareholders to elect the board of directors and
