There are three basic ways in which a business organization can exist, namely a sole* E4 Q4 ~3 l- G% r
proprietorship, a partnership, and a corporation. A sole proprietorship is where one person. O* F1 B7 ]+ |, d, Y1 q
using his own name or any other name, conducts business. In a partnership, there are two or
% z7 T! R: T; F3 r: D3 v3 D& e4 hmore persons carrying on a business activity under their own names or the name of a
9 r0 J! E- e! Q" Dpartnership. Incorporations are for legal purposes and entirely separate, legal entity created by9 ] \: N9 F$ L& f7 q
law and can be used by a single person or more persons together.
$ D7 {- j7 S! _+ d/ M9 }) q( PSOLE PROPRIETORSHIP
- u& S( T) _6 t1 H; N k- RIf a one-man operation uses a name different that his own, he must register this name under the
3 o+ \9 o* ^4 S3 ?% H! iPartnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it
9 y$ a- U" g4 ?8 \6 w* dcan be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the z8 ]3 R/ P$ M8 E/ @
individual remains personally liable and his home and personal assets can be used to satisfy a
P. k1 a! ]% N' Rjudgement. The registration lasts for five years, and must be renewed at expiry.
- M2 H1 W- {& d& XIt is possible for a sole proprietor to call his business by a name such as "ABC Company". The$ M0 t! W" m6 Q0 n7 P
fact that the word "company" is used does not provide any extra legal protection as8 i' T- n, e% _1 T
incorporation does, and this is commonly misunderstood by many. For tax and legal purposes,, `4 r5 I1 G# w6 R# c: G; u+ p
the sole proprietor is the same as the individual, even if he uses a different name.

Where two or more persons are engaged in a business activity, it is known as a partnership.' g. @2 E4 ~8 @9 ^4 y! }2 M* [4 ]
Like a sole proprietorship, they must register the business name if names other than their own: p4 C2 e7 B6 j
are being used to conduct the business activity. The same provisions of registration apply and- I2 g% b0 W) C) Z) T+ }5 H) c& R
each partner must sign this form and such declaration lasts five years. Here again, if the word
3 v! u) @6 e- [. U' ^! C"company" is used at the end of the name, it provides no extra protection, like incorporation.
' B- U' s/ D+ {. G2 o2 IEach partner remains fully liable for the debts of the partnership, regardless of which partner

It is very desirable for the partners to have a partnership agreement, which sets out the basic

loss sharing formula, whether the partnership will continue the death of a party, where the
3 F9 x9 e) C7 Maccount of the partnership will be maintained, and if any partner is to be employed full-time,
2 f4 \0 p) e( N/ twhat salary he may expect. If a partnership agreement is not provided, the provisions of the O" [, C0 V( _( v
Partnership Act will apply, and in such events, the partnership will dissolve, for example, on* U$ Y, ^& N s# d4 Z
the death of a partner. The partnership agreement also would provide for a formula by which1 Q* X% s0 o. f% X/ T
upon disagreement, a party could withdraw from the partnership. Where no agreement is+ M( z# r; q0 q
provided, any partner could simply register dissolution of partnership and terminate the
, {6 L2 t' L) h* Kpartnership arrangement. Legal advice is desirable in drafting a partnership agreement.

INCORPORATION, r M0 V- z3 M/ o( ^, q
Incorporation is often called a limited company. When a corporate body is formed, it creates a
# }9 _" {" j$ U* x2 dseparate legal person, and has a different legal existence than the person or persons who formed
9 I8 D* Z; ]8 f9 {4 v% E! uthat legal entity. A corporation may be identified by using the words "limited", "incorporated",
, Z0 J. g( _6 Q+ A9 Bor "corporation".4 _& Z+ L" P' K! D9 o
The word "limited" correctly describes the idea of limited liability, when a corporation is6 T/ g5 a; H! ]: P7 L4 i, M' l
formed. Unlike the sole proprietorship and partnership when a corporation is formed, the
: f( F3 G, K) ?7 S; yindividual or the persons forming it are only liable for the amount of investment made by them,
* u. |9 u; S4 [9 ~6 y6 sin the corporation. In case of financial problems arising, the judgment can be enforced only

A corporation offers a variety of tax planning benefits. The most common benefit derived is the7 g/ v9 w2 k9 R! W) d4 o% b" x
possibility in a small company, of splitting the income between the husband and the wife.( w+ O# m, r ^; L: `
Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to1 h: b4 F ~$ K1 o+ f
be that of the husband, but where a corporation is formed, and the wife works for the. F) e/ B8 a3 g6 o' _
corporation, it is legally possible for the husband to divert a certain amount of income to the# ^. N2 ^- H! ]) M$ M1 Q! }
wife, provided that she is doing some work in the company.
1 p: \, m3 C+ j! tA corporation is also in effect, an estate-planning vehicle. By issuing common shares to
( ~: I$ K6 ^6 b; E% Bchildren in trust, the growth value of the shares of the corporation can be transferred to the3 D4 v3 o; b4 ?5 t9 V/ X, f
children without incurring inheritance taxes under Succession Duty Act, and Income Tax Act.
( `' F% Y9 U) X8 [1 ~A corporation can be formed either under the Canada Business Corporations Act, or the3 f! A( _3 @$ m0 ~9 A
Provincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal
# D2 \1 ^2 @: S% G& o# ?" ecompany is desirable where it may, in the future, have head offices in various provinces. A
9 H0 Y/ z7 Y7 l- V% c% ?! e# }federal company does not require extra-provincial licenses to operate in different provinces. It' q( G9 }: I6 D
does require, however in Ontario, a Licence In Mortmain. This license is required when the; ]. ~- C9 p1 h
company owns or rents property in Ontario. The Ontario corporation does not require such
C/ Z& N. V/ [4 Xlicense to operate within Ontario, but may require extra-provincial license to operate in other- m- d1 p* w" a/ p4 h0 n
provinces, except Quebec.

also the sole shareholder in that company. Where there are more shareholders, a difficult* ?% p" U" g& f% e
decision to make is the proportion of shares owned by each shareholder in the company. A 51%

accordingly, exercise effective control of the operations of the business.

withdraw as a shareholder, or how the shares will be disposed of upon death or disagreement.
