LEGAL FORMS OF BUSINESS ORGANIZATIONS* e7 e5 `3 l- _$ F
There are three basic ways in which a business organization can exist, namely a sole
: ^) B; s V6 G( \3 f) V; qproprietorship, a partnership, and a corporation. A sole proprietorship is where one person
1 O8 |, v& E) ^" {& w! dusing his own name or any other name, conducts business. In a partnership, there are two or! E% ]% |; z( {8 Q3 l
more persons carrying on a business activity under their own names or the name of a0 ^ b9 D/ S% K. u. l6 c
partnership. Incorporations are for legal purposes and entirely separate, legal entity created by0 | V/ r# x+ O( h# P8 [
law and can be used by a single person or more persons together.8 u- G- v& l; j, L! Q
SOLE PROPRIETORSHIP
" x) j, T$ B! s/ c6 q& C6 XIf a one-man operation uses a name different that his own, he must register this name under the
; w* l5 A: p! | g+ ePartnerships Registration Act at 555 Yonge Street, Toronto. The form is relatively simple, and it& V0 f4 }- `. E1 Q2 `* p2 h
can be done by the individual at a minimal cost of $10.00. In case of financial difficulties, the& x9 G& d/ n. l+ g& W
individual remains personally liable and his home and personal assets can be used to satisfy a3 G* X, P7 e% E, t
judgement. The registration lasts for five years, and must be renewed at expiry.7 F# f! j) j! ]" j
It is possible for a sole proprietor to call his business by a name such as "ABC Company". The
+ p' x' u, \5 Q, vfact that the word "company" is used does not provide any extra legal protection as
, G+ D- _5 J! o! tincorporation does, and this is commonly misunderstood by many. For tax and legal purposes,
( L8 D& U$ b ]' J Athe sole proprietor is the same as the individual, even if he uses a different name.
: M% r K. u( x) F7 N( U& e- yPARTNERSHIP
g0 _7 ?% v" P9 h% D1 @Where two or more persons are engaged in a business activity, it is known as a partnership.3 c6 | r6 S' W5 j7 O2 Y
Like a sole proprietorship, they must register the business name if names other than their own
1 ~6 P, b% H& ^" kare being used to conduct the business activity. The same provisions of registration apply and* ^6 a8 P' \1 U
each partner must sign this form and such declaration lasts five years. Here again, if the word& O8 f( {# E1 d) x; W
"company" is used at the end of the name, it provides no extra protection, like incorporation.. t5 _1 P3 v. w+ K/ D/ @
Each partner remains fully liable for the debts of the partnership, regardless of which partner
& z- D0 Z, g2 E3 V+ {* o0 u5 {incurred the liability. In case of financial difficulties, the judgement can be enforced against
9 D( d; z! y! K0 Xeach and every partner and if any one partner does not have any monies, the other partner who4 V& _0 {! E/ Z1 X( Z& v
has the property and personal belongings and a house, he would have to meet the liability.
- K) k/ ~# U! _; j5 ]3 ^, EEach partner is liable too pay tax on his share of the profit made. For legal purposes, the
8 r: b6 g1 ~1 r4 q3 }8 g. \, ?liability is full, despite the percentage of partnership interest.

! F; T# X( j2 K% zIt is very desirable for the partners to have a partnership agreement, which sets out the basic/ n, J( R/ q" I1 K
terms of the partnership arrangement, including what business will be conducted, profit and

account of the partnership will be maintained, and if any partner is to be employed full-time,
( I* o. |7 I; zwhat salary he may expect. If a partnership agreement is not provided, the provisions of the
1 L! z! _! h# S; L3 jPartnership Act will apply, and in such events, the partnership will dissolve, for example, on. e( S+ C2 _9 `$ J6 _
the death of a partner. The partnership agreement also would provide for a formula by which
/ L: L, m0 R# E7 P: J. xupon disagreement, a party could withdraw from the partnership. Where no agreement is
( _9 P/ G0 A3 Rprovided, any partner could simply register dissolution of partnership and terminate the/ i* I0 H* e5 @
partnership arrangement. Legal advice is desirable in drafting a partnership agreement.
, y/ T" T6 i) i, m0 SIn case of failure of a partnership to register a business name, no action can be brought by the
- n- g e4 ]3 zpartnership to sue a defendant, who fails to pay them.
) K( u. K- Z# @) \' g# hINCORPORATION
3 V1 p+ E3 t$ a7 C4 h+ u; ?Incorporation is often called a limited company. When a corporate body is formed, it creates a
4 _2 {8 X) B1 ?" R' w# Q! {separate legal person, and has a different legal existence than the person or persons who formed" S1 a. _% f4 R6 p# J
that legal entity. A corporation may be identified by using the words "limited", "incorporated",
+ l: ?5 R- g' u% _) J7 \' ?0 wor "corporation".# ^5 A5 s& V7 I- l
The word "limited" correctly describes the idea of limited liability, when a corporation is, W V1 J, H7 x9 R
formed. Unlike the sole proprietorship and partnership when a corporation is formed, the
8 h$ R6 a8 o9 q, C- vindividual or the persons forming it are only liable for the amount of investment made by them,/ A2 r' b) T) e% U% S
in the corporation. In case of financial problems arising, the judgment can be enforced only
0 d2 J1 x9 a' e F& Gagainst the assets and property owned by the corporation, and the assets of the individual and& Q9 |. e2 ^0 g+ \
his home cannot be touched. This is the most important reason for forming a corporation, as
* t6 V# p1 v" X4 X! y; j" Rmost people wish to protect their personal assets against the risks of the business.
Y+ q! _$ W, \% `: C! }A corporation offers a variety of tax planning benefits. The most common benefit derived is the' ^ ]( _9 m; r3 m* C- ~3 i
possibility in a small company, of splitting the income between the husband and the wife.+ s: a5 n F% H5 B# A% N/ L
Under the attribution rules of the Income Tax Act, the income derived by the wife is deemed to" i# O9 l6 |: g! S( L* X' d* W
be that of the husband, but where a corporation is formed, and the wife works for the. _. [7 i+ v9 w% V# @
corporation, it is legally possible for the husband to divert a certain amount of income to the' f: ~- w8 y! _( m
wife, provided that she is doing some work in the company.
# A8 A* g# {0 H7 A _0 NA corporation is also in effect, an estate-planning vehicle. By issuing common shares to
7 }8 i! J8 X$ b4 F8 h X: tchildren in trust, the growth value of the shares of the corporation can be transferred to the( [9 M W/ i8 }- c7 `& Q& G0 j1 N4 d
children without incurring inheritance taxes under Succession Duty Act, and Income Tax Act. R3 s+ o/ S v6 T" P
A corporation can be formed either under the Canada Business Corporations Act, or the$ e6 k u( j& O H+ ~/ C! T
Provincial Legislation, and in Ontario, the Ontario Business Corporations Act. A federal3 a& a: u2 T, p- g, z
company is desirable where it may, in the future, have head offices in various provinces. A( s8 y8 E2 ~! f: Z8 {
federal company does not require extra-provincial licenses to operate in different provinces. It
& L% B% b& k1 X u. Hdoes require, however in Ontario, a Licence In Mortmain. This license is required when the
+ \' g7 k! G! z: Y" Wcompany owns or rents property in Ontario. The Ontario corporation does not require such z: _) `* R( N j
license to operate within Ontario, but may require extra-provincial license to operate in other
9 l! h' Y3 H: O# ]# n8 W2 N4 Fprovinces, except Quebec.

also the sole shareholder in that company. Where there are more shareholders, a difficult

control usually gives the right to such shareholders to elect the board of directors and" \! i" s9 ~+ i
accordingly, exercise effective control of the operations of the business.( H: Q& ?7 i1 ?; Y- d: M
The directors of a company are responsible to the shareholders and must hold an annual7 S) S( K! S$ E' {: E1 R+ d
general meeting each year, even if there are only one or two shareholders, who might be the

+ w; Z8 ~! d. Y1 E' tWhere there are two or more shareholders in a company, a buy-sell agreement or some

This agreement is commonly ignored by shareholders until a dispute arises, when it is usually
